GENERAL SERVICE AGREEMENT
BACKGROUND
A. The Client is of the opinion that the Contractor has the necessary qualifications, experience and abilities to provide services to the Client.
B. The Contractor is agreeable to providing such services to the Client on the terms and conditions set out in this Agreement.
IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and the Contractor (individually the “Party” and collectively the “Parties” to this Agreement) agree as follows:
SERVICES PROVIDED
The Client hereby agrees to engage the Contractor to provide the following services (the “Services”):
a. Design and development of a WordPress website using Elementor Pro for the Client’s prefabricated housing project.
b. Implementation of basic visual customization features for housing models (including but not limited to exterior styles, finishes, or visual variations presented through images or style groupings).
c. Creation and integration of lead capture and contact forms.
d. Basic creation or adaptation of graphic assets strictly based on materials provided by the Client (including renders, images, and branding assets) for website and customization display purposes.
The Services do not include advanced 3D configurators, real-time architectural modeling, structural design, engineering services, or compliance reviews unless expressly agreed to in writing by both Parties.
Any additional services outside the scope defined above must be agreed upon in writing and may require additional compensation.
CLIENT RESPONSIBILITIES
The Client agrees to provide all necessary assets required for the completion of the Services, including but not limited to:
- Logo and branding materials
- Architectural renders and images
- Floor plans
- Written content or specifications
Delays in providing required materials may result in corresponding delays to the project timeline.
TERM OF AGREEMENT
The term of this Agreement will begin on the date of execution and will automatically terminate upon completion and delivery of the Services, unless otherwise terminated as provided herein.
PROJECT TIMELINE
The Contractor will deliver the initial version of the website within forty (40) days from the date all required branding guidelines and assets have been provided by the Client.
The Client will have five (5) business days following delivery to request reasonable revisions. Upon completion of revisions, the project will be considered complete.
COMPENSATION
The total compensation for the Services is USD $3,800. 50% payable in full upon execution of this Agreement. Remaining 50% payable 30 days thereafter.
Work will not commence until first payment has been received.
BONUSES / INCLUDED AT NO ADDITIONAL COST
The following items are included as bonuses and carry no monetary value beyond the first year:
a. Website hosting and necessary licenses for the first year (renewal required annually thereafter at approximately USD $170-200).
b. Domain registration for the first year (renewal required annually at approximately USD $12–$29).
c. Website critical maintenance and updates for one (1) year following delivery (estimated value USD $360).
CURRENCY
All monetary amounts referred to in this Agreement are in USD (United States Dollars).
CONFIDENTIALITY
Confidential Information refers to any data or information relating to the business of the Client which would reasonably be considered proprietary.
The Contractor agrees not to disclose or use Confidential Information except as authorized by the Client or required by law. These obligations survive termination of this Agreement.
OWNERSHIP OF INTELLECTUAL PROPERTY
Upon full payment, all website content and materials created under this Agreement shall be considered a “work made for hire” and shall be the property of the Client.
The Contractor retains the right to display the completed project in their portfolio unless otherwise requested in writing by the Client.
INDEPENDENT CONTRACTOR
The Contractor is an independent contractor and not an employee, partner, or joint venturer of the Client. The Contractor is responsible for all applicable taxes.
LIMITATION OF LIABILITY
The Contractor shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of business, revenue, or profits arising from the use or inability to use the website.
TERMINATION
Either Party may terminate this Agreement for material breach with written notice. In the event of termination after work has begun, fees paid are non-refundable.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions or agreements.
